Web Beacons

Friend Information

We may offer contact importer tools to help you upload your contact’s addresses in order to enable you to find your friends on the Website, and invite your contacts who have not joined the Website to join. If you give us your password to retrieve those contacts, we will not store your password after you have uploaded your contact’s information. If you want us to remove your contact information, visit your account settings.

Company Communications

We will automatically send your friend emails inviting him or her to visit the Website. TERMS OF USE AGREEMENT

This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“user” or “you”) and Alpha Sun & Sport, LLC and its affiliated companies (collectively, “Company” or “we” or “us” or “our”), concerning your access to and use of the www.LivingAlpha.com website as well as any other media form or media channel related or connected thereto, including mobile applications and mobile websites (collectively, the “Website”).  The Website provides a social network which allows users to share their personal victories, dreams and adventures, purchase products, create memorable sites for friends and family, and enjoy other related features (“Company Services”).  The Company Services are hosted in the United States.  

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Website. If you are a minor, you must have your parent or guardian read and agree to this Agreement prior to you using the Website.   5. your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable (as determined by Company), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of the government of the United States, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party;
  6. your Contribution does not contain material that solicits personal information from anyone under 18 or exploit people under the age of 18 in a sexual or violent manner, and does not violate any federal or state law concerning child pornography or otherwise intended to protect the health or wellbeing of minors;
  7. your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap;
  8. if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to make available the Contribution, or (ii) secured from your employer a waiver as to all rights in or to your Contribution;
  9. your Contribution does not violate any state or federal law designed to regulate electronic advertising;
  10. your Contribution does not amount to trolling, or the making of controversial statements for the sole purpose of generating responses by others;
  11. your Contribution does not constitute, contain, install or attempt to install or promote spyware, malware or other computer code, whether on Company’s or other’s computers or equipment, designed to enable you or others to gather information about or monitor the online or other activities of another party;
  12. your Contribution does not inundate the Website with communications or other traffic suggesting no serious intent to use the Website for its stated purpose;
  13. your Contribution does not otherwise violate, or link to material that violates, any provision of this Agreement or any applicable law or regulation; and
  14. your Contribution does not contain pictures, data, audio or visual files, or any other content that is excessive in size, as determined by Company in its sole discretion.


Creating Sub-Accounts (referred to on the Website as "Relationship Accounts")

One of the exciting features of the Website is the ability to create a sub-account (which are referred to on the Website and hereafter in this Section as "Relationship Accounts") for the benefit of another person. For instance, a user can create a Relationship Account for a Relationship Account subject, such as a parent or a child. The user can then populate the Relationship Account with Contributions that relate to or would be of value to the Relationship Account subject. For instance, the Relationship Account Contributions might track a child's life from birth, relate to a particular meaningful event, or in any other manner create content that will be valued by the Relationship Account subject.

Relationship Accounts are not available for public viewing and are only accessible to the Relationship Account holder and any other person who is authorized by the Relationship Account holder to obtain a user name and password. Such authorized persons may also upload Contributions to the Relationship Account, which uploads are subject to the Relationship Account holder's approval prior to posting. However, such persons may not modify content within a Relationship Account. Accordingly, the Relationship Account holder is solely responsible for all Contributions contained within a Relationship Account that the user creates.

Only a parent is permitted to create a Relationship Account for a child under the age of 13. Additionally, a Relationship Account holder may not grant authorization for a child under the age of 13 to obtain a user name and password for a Relationship Account.

A Relationship Account holder may at any time turn over full control of a Relationship Account to the Relationship Account subject (who is over the age of 13), and after such time, the Relationship Account subject will have the ability to exclusively manage such account and exclude all other persons from having password access (including the original Relationship Account holder). When a Relationship Account holder turns over a Relationship Account to a Relationship Account subject, the Relationship Account becomes the primary account of the Relationship Account subject.


PURCHASES; PAYMENTS;

Company bills you through an online billing account for purchases and other charges. You agree to pay Company all charges at the prices then in effect for purchases made by you or other persons using your billing account, and you authorize Company to charge your chosen payment provider for any such purchases. You agree to make payment using that selected payment method. Company reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. Sales tax will be added to the sales price of purchases as deemed required by Company.

You must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify Company if your payment method is canceled (e.g., for loss or theft). Changes to such information can be made at your account settings.

Company Services may be offered for a fee or for free. If for a fee, then most payment plans for the Company Service's consist of an initial period, for which there is a onetime charge, followed by recurring period charges as agreed to by you. By entering into this Agreement, you acknowledge that your payment has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. COMPANY MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (CONFIRMED IN UPON REQUEST BY COMPANY) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE COMPANY REASONABLY COULD ACT.


RETURN AND REFUND POLICY

Unless otherwise expressly set forth on the Website, there are no returns or refunds for products or services purchased from Company.:


CONTRIBUTION LICENSE

By posting Contributions to any part of the Website you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such Contributions for any purpose, commercial, advertising, or otherwise, on or in connection with the Website or the promotion thereof, to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses of the foregoing. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed. By uploading your Contributions, you hereby warrant that your Contributions are free of any digital rights management, including any software designed to limit the number of times the Contributions may be copied or played. You may remove Contributions from the Website at any time, however this feature might not be available for all Contributions. Company may retain archived copies of your Contributions. The Company does not assert any ownership over your Contributions; rather, as between us and you, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions.

Company has the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Contributions, (ii) re-categorize any Contributions to place them in more appropriate locations or (iii) pre-screen or delete any Contributions that are determined to be inappropriate or otherwise in violation of this Agreement.


SUBMISSIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Website or the Company Services ("Submissions") provided by you to Company are non-confidential and Company (as well as any designee of Company) shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.


PROHIBITED ACTIVITIES

You may not access or use the Website for any other purpose other than that for which Company makes it available. The Website is for the personal use of users only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Company. monitor the Website for violations of this Agreement; take appropriate legal action against anyone who, in Company’s sole discretion, violates this Agreement, including without limitation, reporting such user to law enforcement authorities; in Company’s sole discretion and without limitation, refuse, restrict access to or availability of, or disable (to the extent technologically feasible) any user’s Contribution or any portion thereof that may violate this Agreement or any Company policy; in Company’s sole discretion and without limitation, notice or liability to remove from the Website or otherwise disable all files and content that are excessive in size or are in any way burdensome to Company’s systems; terminate the accounts of repeat infringers; and otherwise manage the Website in a manner designed to protect the rights and property of Company and others and to facilitate the proper functioning of the Website.

By using the Website or the Company Services, you are consenting to have your personal data transferred to and processed in the United States. You will not offer any contest or sweepstakes without our prior written consent. If we consent, you take full responsibility for the contest or sweepstakes, and will follow our applicable guidelines in effect at the time of the Order and all applicable laws. You can cancel your Order at any time through our online portal, but it may take several days before the ad stops running, during which period the applicable charges will continue to accrue. Please contact us for information on the current expected lag time from early termination to cessation of an ad running. Our license to run your ad will end when we have completed your Order. You understand, however, that if users have interacted with your ads, your ads may remain until the users delete it. We can use your ads and related information for marketing or promotional purposes. You will not issue any press release or make public statements about your relationship with Company without written permission. We may reject or remove any ad for any reason.  If you are placing ads on someone else's behalf, you warrant that you have permission to place the ads and you will be primarily responsible for the payment due for such ads. Additionally, if you fail to make any such payments, we may seek payment directly from the advertiser. You and the advertiser, jointly and severally, agree to defend, indemnify and hold harmless Company from and against any claims, actions, proceedings, liabilities, costs, expenses (including attorney’s fees) and damages arising from or relating to any ads you place on the Website. You warrant that you have the legal authority to bind the advertiser to this provision. You agree that if the advertiser you represent violates this provision, we may hold you responsible for that violation.

TERM AND TERMINATION

TO CANCEL, CALL A COMPANY CUSTOMER CARE REPRESENTATIVE DURING NORMAL BUSINESS HOURS USING THE CONTACT INFORMATION LISTING BELOW IN THIS AGREEMENT OR BY ACCESSING YOUR ACCOUNT SETTINGS. THIS SECTION APPLIES ONLY TO INDIVIDUALS RESIDING IN STATES WITH SUCH LAWS.


MODIFICATIONS

To Agreement

Company may modify this Agreement from time to time. Any and all changes to this Agreement will be reflected on the Website and revisions will be indicated by date. You agree to be bound to any changes to this Agreement when you use the Company Services after any such modification is posted on the Website. Company may also, in its discretion, choose to alert all users with whom it maintains email information of such modifications by means of an email to their most recently provided email address. It is therefore important that you regularly review this Agreement and keep your contact information current in your account settings to ensure you are informed of changes. Application of the United Nations Convention on Contracts for the International Sale of Goods is excluded from this Agreement. Additionally, application of the Uniform Computer Information Transaction Act (UCITA) is excluded from this Agreement.  In no event shall any claim, action or proceeding by you related in any way to the Website and/or the Company Service (including your visit to or use of the Website and/or the Company Service) be instituted more than one (1) year after the cause of action arose.


CORRECTIONS

Notwithstanding the foregoing, Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Company, and you agree to cooperate, at your expense, with Company’s defense of such claims.
